1. Agreement to Terms
By accessing and using Scalomation's website and services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.
2. Proprietary Rights
During an engagement, Scalomation designs and implements responsible, compliant AI systems ("AI Implementations") tailored to your firm's operational requirements. Upon completion of the engagement and full payment of fees, Scalomation grants your firm a perpetual, non-exclusive right to use the AI Implementations designed during the engagement for your internal business operations.
All intellectual property, methodologies, and underlying architectures remain the property of Scalomation. You may not:
- Modify, reverse engineer, or attempt to decompile the AI Implementations
- Sublicense, resell, or transfer the AI Implementations to third parties
- Remove or alter any proprietary notices or attribution
- Use the AI Implementations for any purpose other than your internal business operations
3. Professional Services and Engagement Structure
Scalomation provides professional services to design and implement AI Implementations. Every engagement with Scalomation is governed by one of the following written agreements, each executed before work begins:
- Firm Audit Agreement — a separate 1–2 page agreement governing the $5,000 paid audit engagement, its scope, deliverable, and 30-day credit against any subsequent transformation engagement.
- Statement of Work (SOW) — the agreement governing a transformation engagement (entry, transformation, or transformation-plus tier), including scope, deliverables, timeline, fees, and data-handling terms specific to that engagement.
- Change Order — a written addendum to an active SOW governing any material change in scope, which must be signed by both parties before the additional work begins.
The applicable agreement takes precedence over this general Terms of Service for any conflicts or ambiguities regarding the scope of professional services provided under that engagement. Scalomation does not undertake scope, deliverables, or fees that are not documented in one of these three instruments.
4. Disclaimer
The AI Implementations and other materials provided through Scalomation's website and services are provided on an "as is" basis. Scalomation makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.
5. Limitations
In no event shall Scalomation or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use of or inability to use the AI Implementations or other materials available through Scalomation.
6. Accuracy of Materials
The AI Implementations, documentation, and other materials appearing on or produced by Scalomation may include technical, typographical, or photographic errors. Scalomation does not warrant that any of these materials are accurate, complete, or current. Scalomation may make changes to the materials at any time without notice.
7. Links
Scalomation has not reviewed all of the sites linked to its website and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement by Scalomation of the site. Use of any such linked website is at the user's own risk.
8. Modifications
Scalomation may revise these terms of service for its website at any time without notice. By using this website, you are agreeing to be bound by the then current version of these terms of service.
9. Governing Law
These terms and conditions are governed by and construed in accordance with the laws of the United States, and you irrevocably submit to the exclusive jurisdiction of the courts in that location.
10. Service Modifications
Scalomation reserves the right to modify, suspend, or discontinue any aspect of its services at any time. We will provide notice of material changes when possible.
